1. Acceptance of Terms
Welcome to NetBazzar.in ("NetBazzar", "we", "us", "our"). These Terms and Conditions ("Terms") govern your access to and use of the website www.netbazzar.in and its associated services (collectively, the "Platform"), a Business-to-Business (B2B) marketplace connecting online resellers and manufacturers ("Users", "you", "your").
By registering for an account, accessing, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy
If you are using the Platform on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these

2. Eligibility
The Platform is intended solely for businesses and individuals acting in a business capacity. To use the Platform, you must:
a) Be at least 18 years old.
b) Have the legal capacity and authority to enter into binding contracts on behalf of yourself or the business entity you represent.
c) Provide accurate, current, and complete information during registration and maintain the accuracy of this information.
d) Comply with all applicable laws and regulations related to your business activities and use of the Platform.
e) Not be barred from using the Platform under the laws of India or other applicable jurisdictions.
We reserve the right to refuse service, terminate accounts, or restrict access to the Platform at our sole discretion, without notice, if we believe a User violates these Terms or eligibility requirements.
3. Description of Service
NetBazzar.in provides an online platform to connect businesses acting as manufacturers/suppliers with businesses acting as resellers. The Platform allows Users to create profiles, list products/services (Manufacturers) or discover products/services (Resellers), and facilitate communication and potential transactions between Users.
NetBazzar's Role:
- NetBazzar acts solely as a facilitator and provides the online venue.
- NetBazzar is not a party to any agreement or transaction entered into between Manufacturers and Resellers.
- NetBazzar does not buy, sell, or take title to any goods listed on the Platform.
- NetBazzar does not guarantee the quality, safety, legality, or availability of products/services listed, the accuracy of listings, the ability of Manufacturers to supply goods, or the ability of Resellers to pay for goods.
- While we may perform basic checks or offer verification features, NetBazzar does not control and cannot guarantee the identity, creditworthiness, or actions of its Users.
4. Account Registration and Security
- To access certain features, you must register for an account.
- You agree to provide true, accurate, current, and complete information as prompted by the registration form.
- You are solely responsible for maintaining the confidentiality
4 of your account password and for all activities that occur under your account. - You agree
5 to notify NetBazzar immediately of any unauthorized use of your account or any other breach of security. - NetBazzar cannot and will not be liable for any loss or damage arising from your failure to comply with this section.
- We may require additional verification of your identity or business details at any time.
5. User Obligations and Conduct
As a User of the Platform, you agree to:
- Use the Platform only for lawful B2B purposes and in accordance with these Terms.
- Provide accurate and truthful information in your profile, listings, and all communications.
- Comply with all applicable local, state, national, and international laws and regulations, including but not limited to those related to
6 trade, taxation (including GST), intellectual property, and data privacy. - Be solely responsible for your interactions, agreements, and transactions with other Users. Conduct your business dealings professionally and ethically.
- Ensure that any content you post (listings, descriptions, images, messages) does not infringe upon the intellectual property rights (copyright, trademark, patent) or other rights (privacy, publicity) of any third party.
- Not post content that is false, misleading, defamatory, obscene, harassing, threatening, or otherwise objectionable.
- Not use the Platform to distribute spam, chain letters, or unsolicited commercial messages.
- Not introduce viruses, trojans, worms, logic bombs, or other malicious or technologically harmful material.
- Not attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Platform, the server on which the Platform is stored, or any server, computer, or database connected to the Platform.
7 - Not use any robot, spider, or other automatic device, process, or means to access the Platform for any purpose, including monitoring or copying any of the material on the Platform,
8 without our prior written consent.9
6. Listings and Content
- Manufacturers/Suppliers: You are solely responsible for the accuracy, legality, and content of your listings, including descriptions, images, pricing, availability, and compliance with all applicable regulations. You must have the right to sell the products/services you list.
- Content License: By posting content on the Platform (e.g., text, images, logos), you grant NetBazzar a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable right to use, copy, modify (for formatting/display), distribute, publish, and display such content in connection with operating and promoting the Platform. You represent and warrant that you own or have the necessary rights to grant this license.
- Prohibited Content: You may not list items or post content that is illegal, counterfeit, stolen, infringing, or violates these Terms or any applicable law.
- Right to Remove: NetBazzar reserves the right, but not the obligation, to review, monitor, refuse, or remove any User content or listings at its sole discretion, without notice, if it violates these Terms or is deemed inappropriate.
7. Intellectual Property Rights
- The Platform and its entire contents, features, and functionality (including but not limited to all information, software,
10 text, displays, images, video, audio, design, selection, and arrangement thereof) are owned11 by NetBazzar, its licensors, or other providers of such material and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.12 - These Terms permit you to use the
13 Platform for your legitimate B2B purposes only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on14 our Platform, except as15 incidentalto your authorized use. - The NetBazzar name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of NetBazzar or its affiliates or licensors. You must not use such marks without the prior written permission of NetBazzar. All other names, logos, product and service names, designs, and slogans on this Platform are the trademarks of their respective owners.

- Fees: Access to and use of certain features of the Platform may require payment of fees (e.g., subscription fees, listing fees, commission on transactions). Any applicable fees will be clearly communicated to you on the Platform or in a separate fee schedule ([Link to Fee Schedule/Pricing Page if applicable]).
- Payment: You agree to pay all applicable fees in a timely manner using the payment methods accepted by NetBazzar. All fees are non-refundable unless otherwise stated or required by law.
- Taxes: You are responsible for identifying and paying all applicable taxes (including GST) associated with your use of the Platform and any transactions conducted through it. Fees charged by NetBazzar may be subject to GST or other applicable taxes.
- Changes: NetBazzar reserves the right to change its fees or introduce new charges upon reasonable notice, which may be provided by posting the changes on the Platform or via email.

TO THE FULLEST EXTENT PERMITTED BY LAW,
NETBAZZAR DOES NOT WARRANT THAT:
(A) THE PLATFORM WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
(B) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
(C)23 THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE;
(D) THE QUALITY OF ANY PRODUCTS,24 SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE PLATFORM WILL MEET YOUR EXPECTATIONS;25 OR
(E) ANY ERRORS IN THE PLATFORM WILL BE CORRECTED.
NETBAZZAR MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT POSTED BY USERS ON THE PLATFORM. YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS AND TRANSACTIONS WITH OTHER USERS. WE DO NOT CONDUCT BACKGROUND CHECKS ON USERS OR VERIFY ALL INFORMATION PROVIDED BY USERS.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NETBAZZAR, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES,26 INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN27 IF NETBAZZAR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR RELATING TO:
(A) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE PLATFORM;
(B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM, INCLUDING28 OTHER USERS;
(C) ANY CONTENT OBTAINED FROM THE PLATFORM;
(D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;
(E) ANY29 DISPUTES OR TRANSACTIONS BETWEEN YOU AND ANY OTHER USER; OR
(F) ANY OTHER MATTER RELATING TO THE PLATFORM.
IN NO EVENT SHALL NETBAZZAR'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE.
13. Indemnification
You agree to defend, indemnify, and hold harmless NetBazzar, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities,32 damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
a) Your violation of these Terms.33
b) Your use of the Platform, including, but not limited to, any use of the Platform's content, services, and products other than as expressly authorized in these Terms.34
c) Your content or listings posted on the Platform.
d) Your violation of any law or the rights of a third party (including other Users).
e) Any dispute or issue between you and another User.
14. Termination
- By NetBazzar: We may suspend or terminate your access to all or part of the Platform at any time, with or without cause, with or without notice, effective immediately. Grounds for termination may include, but are not limited to, (a) breaches or violations of these Terms, (b) requests by law enforcement or other government agencies, (c) discontinuance or material modification
35 of the Platform, (d) unexpected technical or security issues, (e) engagement in fraudulent or illegal activities, or (f) non-payment of fees owed by you. - By You: You may terminate your account at any time by contacting us at [Your Support Email Address] or through account settings if available.
- Effect of Termination: Upon termination, your right to use the Platform will immediately cease. We may delete your account information and content. Sections related to Intellectual Property, Fees (owed prior to termination), Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution shall survive termination.
15. Modifications to Terms
NetBazzar reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide

17. Miscellaneous

44 - Severability: If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason,
45 such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.46 - No Waiver: No waiver by NetBazzar of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term
47 or condition, and any failure of NetBazzar to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. - Assignment: You may not assign
48 or transfer these Terms or your rights or obligations hereunder, by operation of law or otherwise, without49 NetBazzar's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void.50 NetBazzar may assign or transfer these Terms, at its sole discretion, without restriction. - Force Majeure: NetBazzar shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including, without limitation, acts of God, war,
51 terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents,52 pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.53
